These Terms & Conditions (“Terms”) govern your access to and use of the website www.commercialsuppliers.net (the “Site”) and any purchasing transactions conducted with Commercial Suppliers, operated by A Bakar Group Inc DBA Commercial Suppliers (“Company,” “we,” “us,” or “our”).
By accessing the Site, registering for a B2B wholesale account, requesting a quote, or placing an order, you (“Buyer,” “Customer,” or “you”) agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or services.
1. B2B Eligibility & Account Registration
Commercial Use Only: Commercial Suppliers is a business-to-business (B2B) wholesale vendor. Products sold on this Site are intended for commercial, corporate, institutional, industrial, or resale use.
Account Creation: You represent and warrant that you are at least 18 years of age and authorized to bind your business entity to legal agreements.
Accuracy of Information: You are responsible for providing accurate business information, including your legal company name, business address, tax identification number (EIN), and valid contact details.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
2. Wholesale Pricing, Quotes & Tax Exemption
Pricing Adjustments: All prices listed on the Site or provided in custom wholesale quotes are subject to change without prior notice due to manufacturer supply chain shifts, commodity price fluctuations, or raw material cost adjustments.
Price Quotes: Custom volume quotes provided via email (sales@commercialsuppliers.net) or phone are valid for the timeframe specified in the quotation document (or 14 business days if unspecified).
Tax Exemption: Customers seeking sales tax exemption must submit a valid, executed Resale Certificate or Tax Exemption Certificate prior to completing a order. Tax exemption cannot be applied retroactively to completed orders.
3. Orders & Payment Terms
Order Acceptance: All orders placed through the Site or sales representatives are subject to acceptance by Commercial Suppliers. We reserve the right to cancel or refuse any order for reasons including inventory shortages, pricing errors, or failure to pass credit/fraud checks.
Payment Methods: Payments are accepted via major credit cards, electronic bank transfers (ACH/Wire), or approved B2B credit terms.
Credit Terms: Credit terms (e.g., Net 30) are granted solely at our discretion following a formal credit check and signed agreement. Late payments are subject to a late fee of 1.5% per month (or the maximum allowed by law).
4. Shipping, Freight & Delivery
Shipping Carriers & Delivery: Shipping dates provided are estimates only. Commercial Suppliers is not liable for logistics delays caused by shipping carriers, weather events, labor disruptions, or supply chain bottlenecks.
Freight & FOB Shipping: Unless otherwise specified in writing, all freight shipments are sold FOB Origin. Risk of loss and title to products pass to the Buyer upon delivery to the freight carrier.
Receiving Freight & Inspection: Buyers must inspect all freight deliveries upon receipt. Any visible packaging damage, missing items, or freight shortages must be noted on the Bill of Lading (BOL) at the time of delivery and reported to Commercial Suppliers within 48 hours.
5. Returns, Cancellations & Restocking Fees
Return Approval: Returns are strictly governed by our Return Policy and require prior written authorization via a Return Merchandise Authorization (RMA) number from sales@commercialsuppliers.net.
Restocking Fees: Authorized returns of non-defective standard stock items may be subject to a 15% to 25% restocking fee, and the Customer is responsible for return freight costs.
Non-Returnable Items: Custom orders, special order items, opened sanitation/PPE items, perishable breakroom supplies, and clearance items are final sale and non-returnable.
Order Cancellations: Requests to cancel orders must be received before items are dispatched or processed for custom assembly. Once an order has entered the fulfillment pipeline or left the warehouse, standard return policies apply.
6. Product Descriptions & Disclaimers
Product Specifications: We strive to display accurate product descriptions, dimensions, and specifications. However, manufacturers periodically modify product packaging, material specs, or minor dimensions.
Warranty Disclaimer: All products are sold with standard manufacturer warranties, if applicable. Commercial Suppliers makes no additional express or implied warranties, including merchantability or fitness for a particular purpose, beyond manufacturer guarantees.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
Commercial Suppliers / A Bakar Group Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of business profits, downtime costs, or business disruption resulting from the use or inability to use our products or services.
Our total aggregate liability for any claim arising out of these Terms or an order shall not exceed the total purchase price paid by the Buyer for the specific product(s) giving rise to the claim.
8. Intellectual Property
All content on commercialsuppliers.net, including logos, graphics, text, product imagery, software scripts, and design layouts, is the intellectual property of Commercial Suppliers, A Bakar Group Inc, or its software/brand licensors and is protected by copyright, trademark, and intellectual property laws.
9. Governing Law & Dispute Resolution
These Terms and any purchasing agreements between Buyer and Commercial Suppliers shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida.
